Activation Required means you need to install the software and "activate" it like MS Windows XP requires in order to be eligible for the rebate. That means you cannot buy it, get the rebate and then sell it on eBay because the purchaser will not be able to activate the software because you already did.
This makes it fairly unattractive a deal unless you need the software for your own use.
